MpactDEAL's are a mechanism that allow you the potential to generate extra income without struggling with all of the headaches normally associated with making more money (i.e., starting a business, selling products, recruiting people, advertising, adding more hours to your work day, etc.). By using MpactDEAL's, you simply purchase units of a specialized series of limited liability companies. By doing so, you are buying a right to receive (RTR) the proceeds from an ownership unit in a specialized limited liability company (LLC). The number of units in each LLC can vary, ranging from several hundred to several thousand with a Face Value per unit from $25.00 to $1,000.00 USD.

Each LLC is attached to a specific contract between the LLC and MpactVentures. The terms of this contract call for a loan of the total capitalization of the LLC (the contributed funds from the sale of the RTR units) to MpactVentures for use in its venture development programs. The loan contract has a provision in it that allows for conversion of the debt to an equity participation interest in whatever venture MpactVentures ultimately uses the loaned funds for. In virtually all cases, the provision for conversion to an equity participation will be exercised.

The length of the contract is thirteen (13) weeks. The provisions of the loan contract/profit participation call for a pre-payment of future profits from acquisition deals to begin in the fifth (5th) week MpactVentures' following the start date. Weekly payments equal to one-quarter (25%) of the face value of the DEAL units are made for nine (9) weeks (example: a $100 face amount LLC unit pays $25 per week for nine weeks for a total payout of $225.00). The weekly payments are made on Tuesdays of each week into your SpringPay account.

As you can see, this type of arrangement gives the RTR holder a defined time/amount benefit; an EXCELLENT tool for financial planning.

In exchange for the advance payment of future profits - any additional profit distributions by MpactVentures are waived.

What other methods are employed by MpactVentures to help make the MpactDEAL's work?

As you might imagine, they don't do just one thing that creates the profits allowing them to developed the opportunities they offer. It's a combination of many things.


• They buy companies, run companies, start companies.
  
  
• They manage companies they own and also those owned by others.
  
  
• They loan money to companies, buy financial contracts from third party lenders, buy and sell stocks in targeted public companies for quick profit, and many other things.
  
  
All of these produce profits. Many of the profits come from short-term investments - as short as 8 hours, as in overnight bank repurchase agreements - and many come from longer-term investments - such as business acquisitions which can be up to 3-5 years.

They employ a lot of highly sophisticated money management techniques that are generally done only by big money-center banks and investment houses around the world. They've developed methods that are generally restricted to the billion-dollar-a-day operations and make them work at smaller dollar levels.

They utilize the monies coming in as a catalyst to make all these things happen. As they do so, they build in "expense' costs and allocate that expense (what becomes disbursements to their clients) into the equations for their business dealings. Knowing the 'costs', including the provision for disbursements 'expense', beforehand allows them to only select business deals that will give the return needed to meet the commitments.

A simple explanation for the whole process would be this: As a SharedProfit Member, you can become one of their partners. In typical fashion a partner receives a percentage of the profits for as long as the partnership remains. But, profits in the future are hard to determine. So, partners may make money or they may not.

In this situation, MpactVentures agree to give their partners a fixed, but high profit on their money in the short-term present, and thereby, never have to pay them again in the long-term future. This way, the partners win in the short-term. MpactVentures wins in the long-term. Win-Win
